Terms of Use.

1. Acceptance of These Terms

By accessing or using a website, community, product, course, coaching service, software preview, waitlist or other offering operated under PentHaus Trading or Pent Equities Inc. (collectively, “PentHaus,” “we,” “us” or “our”), you agree to these Terms of Use. If you do not agree, do not use the applicable service.

2. Educational Purpose Only

PentHaus provides market education, commentary, community discussion, trading frameworks, examples, software-assisted market context and related informational content. Nothing provided through PentHaus is individualized investment, legal, tax or accounting advice, and nothing creates a broker, investment adviser, commodity trading adviser, fiduciary or client relationship.

You remain solely responsible for your own trading and investment decisions, account selection, position sizing, risk limits, order entry and compliance with the rules of any broker, exchange, prop firm or other third-party platform you use.

3. Trading Risk

Trading securities, options, futures and other financial instruments involves substantial risk of loss. You may lose some or all of the capital you commit, and certain leveraged products can create losses greater than the amount initially deposited. Past performance, examples, screenshots, alerts, simulated results and member experiences are not guarantees of future results.

4. Memberships, Billing, Renewals, Cancellations and Refunds

Paid offerings may include recurring memberships, prepaid access periods, courses, private coaching or other products. The price, billing period, included features, cancellation terms and any purchase-specific refund terms shown at the applicable checkout or order page are part of your purchase and control if they differ from general descriptions elsewhere on the site.

Recurring memberships automatically renew at the applicable recurring price and billing interval unless canceled before the next scheduled renewal is processed. Members may manage or cancel eligible recurring memberships through the PentHaus Account Center, the COMMAS customer portal, or another official cancellation method made available by PentHaus. To help avoid an unintended renewal, members are encouraged to complete cancellation at least 24 hours before the scheduled renewal date.

Cancellation stops future auto-renewal and does not retroactively reverse or refund charges that have already been processed. Unless the applicable checkout terms state otherwise, canceled membership access generally remains active through the end of the period already paid for.

Because PentHaus memberships provide immediate access to digital content, community resources, live services and proprietary materials, membership charges are non-refundable once processed, including when a member forgot to cancel before renewal, did not use the service, did not access the community, or no longer wishes to use the service, except where a refund is required by applicable law or PentHaus expressly agrees otherwise in writing. No refund is owed for prior billing periods solely because the membership was unused or cancellation was not completed before renewal.

Prepaid access periods, courses, coaching and other one-time purchases may have separate cancellation or refund terms disclosed at checkout. If a membership is canceled and later restarted, the then-current price may apply. A Private Floor application is a request for consideration only and does not guarantee acceptance, availability or any trading result.

5. Community and Discord Access

Some PentHaus services are delivered through third-party community platforms such as Discord. You agree to follow applicable community rules and third-party platform terms. We may restrict or remove access for abusive conduct, harassment, spam, unauthorized solicitation, account sharing, distribution of paid content, attempts to disrupt the community or other conduct that materially harms members, staff or the service.

6. No Reliance on Alerts or Commentary

Trade ideas, alerts, live commentary, levels, watchlists, market briefs and software-generated observations may be delayed, incomplete, incorrect or no longer current by the time you view them. Markets can move rapidly. You should independently evaluate any information before acting on it and should not treat any PentHaus communication as an instruction to buy, sell or hold a financial instrument.

7. Intellectual Property

PentHaus branding, course materials, playbooks, PDFs, frameworks, videos, community posts, software interfaces, written commentary, graphics and other original materials are owned by or licensed to Pent Equities Inc. unless stated otherwise. Your purchase or membership gives you a limited, personal, non-transferable right to use the materials for your own learning. It does not transfer ownership.

You may not resell, republish, scrape, mirror, redistribute, share paid-access credentials, create derivative commercial products from, or systematically reproduce PentHaus materials without prior written permission.

8. User Submissions

If you submit an application, form response, testimonial, question, chart, trade review or other material, you represent that you have the right to submit it. We may use submitted information to provide support, evaluate applications, improve products, respond to you and operate the community. Public use of a testimonial, identifiable result or member story will be handled separately and should not be assumed solely because you submitted a form.

9. Third-Party Services

PentHaus may rely on third-party services for payments, hosting, databases, community delivery and other infrastructure, including providers such as COMMAS, Vercel, Supabase and Discord. Those services operate under their own terms and privacy practices. PentHaus is not responsible for outages, changes, restrictions or losses caused solely by a third-party service outside our reasonable control.

10. Availability and Product Changes

We may add, remove, redesign, pause or discontinue features, channels, schedules, beta programs or products. “Coming soon,” waitlist and beta descriptions are statements of current development intent, not guarantees that a feature will launch on a particular date or in a particular form.

11. No Warranty

To the fullest extent permitted by applicable law, PentHaus services and content are provided on an “as is” and “as available” basis. We do not warrant uninterrupted access, error-free data, continuous market coverage, any particular financial outcome or that any strategy, framework or software feature will meet your objectives.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Pent Equities Inc. and its owners, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of PentHaus, including trading losses, lost profits, lost opportunities, data loss, platform downtime or reliance on educational content. Nothing in these Terms excludes liability that cannot legally be excluded.

13. Account and Access Security

You are responsible for protecting your own login credentials and for activity conducted through your accounts. Notify the relevant platform and PentHaus support promptly if you believe paid access or community credentials have been compromised.

14. Privacy

Our collection and use of personal information is described in the Privacy Policy.

15. PentHaus Partner Program

Submitting a Partner application does not guarantee acceptance. PentHaus may approve or decline any application, and may suspend or remove Partner access after approval, at its sole discretion and without being required to provide a reason, subject to applicable law.

Approved Partners may earn commission on qualifying purchases attributed through the official PentHaus / COMMAS referral system. Current public commission tiers are 25% for eligible Paid-in-Full Residents, 20% for eligible Monthly Residents and 15% for Non-Residents. PentHaus may verify Resident status before assigning a commission tier. Commission eligibility, attribution, reversals, payout timing and other operational details may also be governed by the active Partner offer and COMMAS tracking records.

Customers referred through an approved Partner receive a recurring 10% discount on PentHaus memberships for as long as the qualifying membership remains active. Unless PentHaus expressly states otherwise in writing for a specific promotion, Partner discounts do not apply to private coaching, courses, software, platforms or other non-membership or higher-tier products.

Partners must market PentHaus lawfully and accurately. Partners may not spam, make false or misleading claims about PentHaus or trading results, impersonate PentHaus, publish unauthorized promotional claims, or mass-distribute PentHaus Discord invite links without express permission. PentHaus may reject, reverse or withhold commissions associated with fraud, chargebacks, refunds, self-referrals, abuse, prohibited promotion or transactions that do not qualify under the applicable Partner offer.

Partner status does not create an employment, agency, franchise, joint venture or fiduciary relationship. A Partner may describe themselves as an approved PentHaus Partner but may not represent that they are an employee, investment adviser, broker or authorized spokesperson for PentHaus unless separately authorized in writing.

16. Changes to These Terms

We may update these Terms as PentHaus changes. The revised effective date will appear at the top of this page. Continued use after an update means the revised Terms apply to future use, subject to applicable law and any purchase-specific terms already in effect.
